Terms of Service

These Terms of Service (“Terms”) govern access to and use of websites, advisory programs, executive search services, and digital platforms operated by OKO Labs, Inc., doing business as Rarelevel (“Rarelevel,” “Company,” “we,” “us,” or “our”), a Florida corporation with principal offices in Fort Lauderdale, Florida.

By accessing our websites (including rarelevel.co and related domains), engaging our advisory or search practices, or utilizing associated digital services, you agree to be bound by these Terms. If you represent an entity entering into an agreement with Rarelevel, you affirm that you possess full legal authority to bind that organization.

1. Practice Scope & Definitions

• “Strategic Advisory” refers to executive counsel, organizational topology design, product operating model definition, board advisory, and interim product leadership provided under a signed statement of work.
• “Talent Search” refers to retained, company-paid executive search engagements for senior product leadership seats (e.g., VP Product, Head of Product, Staff/Principal PM), evaluated on verified work evidence.
• “Academy” refers to executive capability building, leadership cohorts, and community initiatives operated by or in conjunction with Product Leader Academy.
• “Client” refers to any business or individual commissioning Advisory, Search, or Academy engagements.
• “Candidate” refers to any individual participating in an executive search evaluation or leadership network initiative.

2. Engagement Structure & Deliverables

All custom engagements are executed via mutually agreed Statements of Work (SOW) or Order Forms specifying scope, duration, deliverables, retainers, and success milestones. Terms in an executed SOW take precedence over conflicting provisions in these general terms for that specific engagement.

Rarelevel commits to practitioner-led delivery. We do not delegate executive advisory or senior candidate assessment to generalist recruiters or unsupervised junior associates.

3. Candidate Representation & Work Evidence

Candidate evaluations in our Talent Search practice are conducted with candidate consent and grounded in verified work artifacts, operational case studies, and documented leadership impact. Rarelevel does not charge candidates placement fees or success percentages. Candidate privacy and discretion are strictly maintained throughout all evaluations.

4. Intellectual Property Rights

All proprietary frameworks, methodologies, design assets, and content on rarelevel.co (including proprietary brand marks, methodologies, and visual systems) remain the exclusive property of OKO Labs, Inc. Deliverables created specifically for a Client under an executed SOW transfer to the Client according to the terms of that specific agreement.

5. Confidentiality & Non-Disclosure

Both parties agree to protect and maintain the confidentiality of all proprietary business, strategic, technical, and candidate information disclosed during an engagement or exploratory consultation. Obligations of confidentiality survive the termination of any client contract.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKO LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF OUR SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OUR ENGAGEMENTS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE TOTAL FEES PAID TO RARELEVEL BY THE CLAIMANT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Governing Law & Exclusive Venue

These Terms and all related agreements are governed by the laws of the State of Florida, without regard to principles of conflicts of law. Exclusive jurisdiction and venue for any legal dispute lies in the state courts located in Broward County, Florida, or the United States District Court for the Southern District of Florida (Fort Lauderdale). Both parties consent to personal jurisdiction in these forums and waive jury trial rights.
